Terms of Service

Please read these Terms of Service (the “Terms”) carefully before accessing or using content.capston.ai (the “Service”). By accessing or using any part of the Service, you (“User,” “you” or “your”) agree to be legally bound by these Terms. If you do not agree to all of the Terms, you must not access or use the Service.

1. Definitions

Capston,” “we,” “us,” and “our” mean Capston, together with all parents, subsidiaries, affiliates, successors, and assigns.

“Content” means all text, graphics, data, software, audio, video, information, and other materials available on or through the Service.

“User Contribution” means any Content that a User submits, posts, publishes, displays, or otherwise makes available on or through the Service, including prompts, keywords, briefs, source materials, brand guidelines, and URLs you provide as inputs to the Service.

“Generated Output” means any text, articles, outlines, metadata, images, or other materials produced by the Service in response to your User Contributions or instructions.

2. Changes to Terms & Service

We may revise these Terms, and may change, suspend, or discontinue any part of the Service, at any time in our sole discretion. If we make material changes, we will post the revised Terms and provide at least thirty (30) days’ notice before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

3. Eligibility & Compliance

You represent that you (a) are at least 18 years old and legally capable of entering into contracts; (b) have not been previously suspended or removed from the Service; and (c) will comply with all applicable laws, regulations, and third-party terms (including search engine policies, AI usage policies, and publisher guidelines) when using the Service.

4. Account Registration & Security

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must notify us promptly at hello@capston.ai of any unauthorized use or suspected breach of security.

5. License & Intellectual Property

5.1 Ownership.

The Service and all Content (except User Contributions and Generated Output as described below) are owned by Capston or its licensors and are protected by intellectual property laws.

5.2 Limited License.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No other rights are granted by implication, estoppel or otherwise.

5.3 Trademarks.

Capston and related marks, logos, and product names are our proprietary trademarks. You may not use any of our trademarks without our prior written consent.

6. User Contributions & Generated Output

6.1 Responsibility.

You retain ownership of, and are solely responsible for, your User Contributions. You represent and warrant that you have all rights necessary to submit your User Contributions and that they do not infringe or violate the rights of any third party.

6.2 License to Capston.

By submitting any User Contribution, you grant us a worldwide, royalty-free, sublicensable, transferable license to use, host, store, reproduce, modify, create derivative works from, and process that User Contribution solely as needed to operate, secure, and improve the Service.

6.3 Generated Output.

As between you and Capston, and to the extent permitted by applicable law, you own the Generated Output produced for your account in response to your inputs. You are solely responsible for reviewing, editing, fact-checking, and determining the suitability of any Generated Output before publishing or relying on it. You acknowledge that Generated Output is produced by automated systems, may contain inaccuracies, omissions, or biases, may resemble outputs produced for other Users, and should not be treated as professional, legal, financial, medical, or other expert advice.

6.4 Prohibited Content.

You will not upload, submit, generate, publish, or transmit any Content that:
  • infringes any third-party right, including intellectual property, privacy, or publicity rights;
  • is unlawful, defamatory, obscene, harassing, hateful, sexually explicit involving minors, or otherwise objectionable;
  • violates the guidelines of any search engine, AI provider, or platform on which the Content is published;
  • misrepresents authorship, sponsorship, or endorsement, or is designed to deceive readers about the nature or origin of the Content;
  • contains malware, viruses, or any other harmful or disruptive code; or
  • impersonates Capston, a Capston employee, another user, or any other person or entity.

7. Acceptable Use & Prohibited Conduct

You agree not to:
  • use the Service for any illegal, deceptive, or fraudulent purpose;
  • interfere with, disrupt, or impair the integrity, security, or performance of the Service;
  • copy, scrape, harvest, mirror, or index any Content except as expressly authorized;
  • attempt to gain unauthorized access to any accounts, computer systems, or networks connected to the Service;
  • access the Service through automated means (including bots, scrapers, or scripts) except through documented APIs we expressly make available;
  • reverse engineer, decompile, or attempt to discover the source code, models, prompts, or underlying algorithms of the Service;
  • use the Service to train, fine-tune, or evaluate any model, product, or service that competes with Capston; or
  • use the Service if you are a direct competitor, or for competitive analysis, benchmarking, or to develop a competing product.

8. AI-Generated Content & Third-Party Platforms

8.1 Automated Generation.

The Service uses large language models and other automated systems to generate articles, outlines, metadata, and related assets. When you activate scheduled publishing, auto-posting, or any similar feature, the Service may automatically generate and publish Content to the destinations you have connected, without a further manual approval step from us. You are responsible for configuring those integrations, reviewing the Content, and ensuring it aligns with your editorial policies, brand, and risk tolerance.

8.2 Third-Party Services.

The Service may integrate with, link to, or rely upon third-party platforms, including content management systems, search engines, analytics providers, and AI model providers. We do not control, endorse, or assume responsibility for any third-party site, service, or content. Your use of third-party services is governed by their own terms and policies, and you are responsible for complying with them.

8.3 Search Engine & Platform Guidelines.

Search engines and publishing platforms set and update their own rules regarding AI-generated content, indexing, and ranking. They may reduce visibility of, remove, or penalize content they consider to violate those rules. By using the Service, you accept that risk and agree to indemnify and hold us harmless from any related penalties, losses, or liabilities.

8.4 No Guaranteed Results.

Every website, search engine, and campaign is different. We cannot guarantee that any Generated Output will improve your rankings, traffic, conversions, or revenue, that search engine algorithms or policies will remain unchanged, or that published Content will remain indexed.

8.5 Commitment to Best Practices.

We actively monitor industry trends and guidelines, and we routinely refine our generation systems, quality controls, and editorial safeguards to align with widely accepted best practices. While these efforts are intended to reduce the likelihood of negative outcomes, no solution can eliminate all risk. Accordingly, the disclaimers and limitations of liability in Sections 11 and 12 continue to apply.

9. Fees, Payment & Refunds

9.1 Fees.

Prices for subscriptions, credits, or any other paid features are as listed on the Service at the time of purchase and are subject to change at any time before purchase. All fees are stated exclusive of applicable taxes, which you are responsible for paying.

9.2 Payment Processor.

Payments are processed by third-party payment providers. We are not responsible for their acts or omissions, and your use of their services is subject to their terms.

9.3 Refund Policy.

First-time subscribers may request a full refund within seven (7) calendar days of the initial subscription payment by emailing hello@capston.ai. Refunds are limited to one per customer and will be issued to the original payment method. After the 7-day period, all sales are final and non-refundable. Unused credits or generations do not roll over and are not refundable upon cancellation, downgrade, or termination.

10. Modifications, Suspension & Termination

We may modify, suspend, or terminate the Service, or your access to it, at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your license to use the Service will automatically terminate, but Sections 5, 6, 8, and 11 through 17 will survive.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Capston disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and results. Without limiting the foregoing, we make no warranty that:

12. Limitation of Liability

To the maximum extent permitted by law, in no event will Capston, its affiliates, licensors, or service providers be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, business interruption, or cost of substitute services, arising out of or in connection with the Service or these Terms, even if advised of the possibility of such damages. Our total cumulative liability for any claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to liability, or (b) one hundred euros (€100).

13. Indemnification

You will defend, indemnify, and hold harmless Capston and its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Service; (b) your User Contributions or your publication or use of any Generated Output; (c) your violation of these Terms or any applicable laws; or (d) your interactions with third-party websites, platforms, or services.

14. Governing Law & Venue

These Terms and any dispute arising from or related to them will be governed by and construed in accordance with the laws of France, without regard to its conflict-of-law principles. Subject to Section 15, the courts located in Paris, France will have exclusive jurisdiction over all disputes not subject to arbitration.

15. Dispute Resolution & Arbitration

15.1 Informal Negotiations.

Before commencing formal proceedings, you agree to first contact us at hello@capston.ai and attempt to resolve the dispute informally for at least thirty (30) days.

15.2 Binding Arbitration.

If we cannot resolve the dispute informally, any controversy or claim arising out of or relating to the Service or these Terms shall be settled by binding arbitration administered by a recognized arbitration provider, under its rules then in effect. The arbitration will be conducted in English by a single arbitrator.

15.3 Class-Action Waiver.

You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

16. Severability & Waiver

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of that term or any other term.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Capston regarding the Service and supersede all prior or contemporaneous understandings. The headings are for convenience only and have no legal effect.
